According to the latest amendments to the Law of Georgia “On Entrepreneurs”, the deadline for legal entities to update information on their activities and bring their constituent documents in line with the legislation has been officially extended until April 1, 2026.

Thus, businesses have additional time to fulfill the new requirements without haste and avoid consequences.

What has changed?

Previously, the deadline for updating registration data was set for April 1, 2025, but the Parliament of Georgia approved the postponement for one more year - until April 1, 2026. The reason is the large number of companies that have not had time to go through the re-registration procedure.

💬 According to Georgian Dream Party MP Tornike Cheishvili, about 280,000 legal entities in the country still have not submitted information to the National Public Registry Agency.

What is required of companies?

All legal entities registered in Georgia must:

• Update their registration data with the National Agency of Public Registry.
• Bring company statutes in compliance with the new version of the law.
• Clarify information on ownership structure, management bodies, etc.

This refers not only to active companies, but also to dormant companies that are still listed in the register.

What happens if you don't comply?

If the company is not in compliance by January 1, 2027:

• The National Public Registry Agency will issue a notice of deficiencies.
• The legal entity will have three months to correct them.
• If ignored – registration will be suspended and the issuance of extracts and other documents will be blocked.

Why is this important?

These changes were adopted in order to bring the Georgian business register in line with international standards, including requirements for transparency of ownership structure (similar to AML/KYC norms).
